IMPORTANT NOTICE: THIS AGREEMENT IS SUBJECT TO BINDING ARBITRATION AND A WAIVER OF CLASS ACTION RIGHTS AS DETAILED IN SECTION 8. PLEASE READ THE AGREEMENT CAREFULLY.
PayVectro ("PayVectro," "we," "us," or "our") provides a multi-chain cryptocurrency transaction management platform designed for batch payouts and wallet operations across supported blockchain networks. PayVectro operates the website located at payvectro.com (the "Site") and the associated software application, dashboard, and related services (collectively, the "Platform" or "Services").
These Terms of Service (the "Terms" or "Agreement") govern your access to and use of the Platform and constitute a binding legal agreement between you and PayVectro. By creating an account, accessing the dashboard, or using any feature of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately discontinue use of the Platform.
1. Eligibility
1.1. You represent that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into this Agreement. If you are acting on behalf of a legal entity, you represent and warrant that you have authority to bind such entity to these Terms.
1.2. You represent that you are not (a) subject to economic or trade sanctions administered or enforced by any governmental authority, including the United States Office of Foreign Assets Control (OFAC), the United Nations Security Council, or the European Union; nor (b) located in, or a national or resident of, any country or territory that is the subject of comprehensive country-wide or territory-wide sanctions (including, without limitation, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions).
2. Description of Services
2.1. The Platform enables authenticated users to (a) import and manage cryptocurrency wallet credentials; (b) view aggregated balances and token holdings across Ethereum, Base, Binance Smart Chain, Polygon, Solana, and TRON networks; (c) initiate single and batch (bulk) cryptocurrency transfers to multiple recipient addresses; and (d) track the on-chain confirmation status of submitted transactions.
2.2. PayVectro is a software tool. We are not a bank, exchange, broker-dealer, money transmitter, investment advisor, portfolio manager, or custodian. The Platform does not facilitate the purchase, sale, or exchange of digital assets for fiat currency. No content or functionality on the Platform constitutes financial, investment, legal, or tax advice.
2.3. The Platform interacts with public, permissionless blockchain networks through third-party Remote Procedure Call (RPC) node providers. We do not operate or control these blockchain networks, and we are not responsible for network-level events including, but not limited to, chain forks, consensus failures, congestion-related delays, reorganisations, or protocol-level changes.
3. Wallet Credentials and Vault Security
3.1. When you import a wallet (via private key or seed phrase), the credential is encrypted server-side using a symmetric encryption key derived from your account password through a standard key-derivation function. The resulting ciphertext is stored in our secure database. Your plaintext password is never stored; it is hashed using bcrypt upon registration.
3.2. Because we do not retain your plaintext password, we have no technical ability to derive the encryption key necessary to decrypt your stored wallet credentials. Accordingly, if you lose or forget your account password, we cannot recover your imported wallet credentials. You accept sole responsibility for maintaining access to your password and, separately, for maintaining independent backups of any private keys or seed phrases imported into the Platform.
3.3. You acknowledge that possession of a private key or seed phrase constitutes full, unrestricted control over the associated blockchain addresses and funds. You are responsible for keeping your credentials confidential and for all activity that occurs under your account.
3.4. PayVectro employs commercially reasonable security measures to protect stored encrypted credentials. However, no method of electronic storage or transmission is completely secure, and we cannot guarantee absolute security. You agree that PayVectro shall not be liable for any unauthorised access resulting from factors outside our reasonable control, including compromises of your device, browser, password, or network.
4. Transaction Execution and Irreversibility
4.1. When you initiate a transaction through the Platform, the Platform constructs the transaction payload, signs it using your decrypted private key, and broadcasts it to the relevant blockchain network through a third-party RPC node. Once a transaction has been broadcast, it is processed by independent network validators and cannot be cancelled, reversed, or modified by PayVectro.
4.2. You are solely responsible for verifying all transaction parameters before submission, including recipient addresses, amounts, token contracts, and network selection. PayVectro shall not be liable for any loss of funds resulting from user error, including transfers to incorrect addresses, incompatible networks, or unintended token contracts.
4.3. Network transaction fees (commonly referred to as "gas fees") are determined by the underlying blockchain network and paid directly to network validators. PayVectro does not set, receive, or benefit from gas fees. Gas fees are non-refundable regardless of whether a transaction succeeds or fails.
5. Prohibited Uses
You agree not to use the Platform to:
(a) violate any applicable law, regulation, or third-party right;
(b) engage in, facilitate, or support money laundering, terrorist financing, or sanctions evasion;
(c) distribute funds to wallet addresses appearing on any applicable sanctions list, including the OFAC Specially Designated Nationals (SDN) List;
(d) transmit malware, exploit vulnerabilities, or attempt to gain unauthorised access to any part of the Platform or its infrastructure;
(e) interfere with or disrupt the integrity or performance of the Platform.
6. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT OR DATA WILL BE SECURE OR NOT OTHERWISE LOST OR DAMAGED. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.
7. Limitation of Liability
7.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PAYVECTRO, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, GOODWILL, CRYPTOCURRENCY ASSETS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM.
7.2. In jurisdictions that do not allow the exclusion or limitation of certain warranties or liabilities, our liability shall be limited to the greatest extent permitted by applicable law.
8. Dispute Resolution and Arbitration
8.1. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
8.2. Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to this Agreement, including the formation, interpretation, breach, or termination thereof, shall be referred to and finally resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA). The seat of arbitration shall be Wilmington, Delaware.
8.3. Class Action Waiver. TO THE EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
9. Modifications
We may revise these Terms from time to time at our sole discretion. The most current version will always be posted on this page with an updated "Last modified" date. By continuing to access or use the Platform after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.
10. Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall continue in full force and effect.
